Our client is seeking an experienced Group Company Secretary to oversee the governance framework and company secretarial responsibilities across multiple jurisdictions. This role will ensure compliance with regulatory and statutory requirements while maintaining high corporate governance standards. The Group Company Secretary will provide essential support to the Board of Directors, senior management, and stakeholders, contributing to the company’s strategic objectives and operational excellence.    Job Duties: Advise the Board, committees, and senior executives on corporate governance best practices, legal requirements, and fiduciary duties. Collaborate with the Group Head of Risk and Compliance to ensure adherence to all relevant regulations, including financial services and corporate laws. Monitor changes in governance standards, statutes, and industry practices, recommending necessary adjustments. Maintain authorised signatory lists, statutory registers, and structure charts for Guernsey companies. Oversee and manage statutory filings and corporate records, ensuring accuracy and timeliness. Provide governance support for Board and committee meetings, including logistics, agenda preparation, minutes, and action tracking. Draft Company Secretary reports and facilitate smooth communication between the Board, Committees, and senior management. Assist with corporate transactions, including mergers, acquisitions, restructurings, and fundraising, ensuring legal and governance compliance. Manage shareholder relations, including AGM and EGM organisation, and maintain transparent communication regarding performance and initiatives. Contribute to corporate reporting, including board self-evaluation and adherence to corporate governance codes. Collaborate with legal and compliance teams to assess risks and implement mitigation strategies. Lead the Company Secretarial function, delivering efficient and effective governance support across the organisation. Support strategic initiatives requiring governance expertise and contribute to director induction programmes.   Job Requirements: Relevant qualification, such as ICSA Chartered Governance Professional (CGP) or equivalent. Minimum of 7 years’ experience in a related role within financial services. Comprehensive knowledge of company secretarial practices, Guernsey Company Law, and offshore fund regulations. Familiarity with company law and practices in other jurisdictions is advantageous. Strong understanding of corporate governance frameworks and financial services regulatory requirements. Experience supporting senior-level boards and committees and implementing ESG initiatives. Proficiency in Microsoft Outlook, Word, and Excel. Excellent time management, organisational, and communication skills.
