Our client is seeking an experienced and detail-oriented Assistant to the Group Company Secretary for a 6-month temporary contract to support governance and company secretarial administration across multiple jurisdictions. This role involves ensuring compliance with regulatory and statutory requirements, maintaining corporate records, and supporting board and committee functions. The successful candidate will play a key role in corporate governance and reporting, contributing to special projects such as mergers, acquisitions, and restructuring. Job Duties: Maintain and provide Customer Due Diligence (CDD) for the Group. Manage and update statutory registers and structure charts. Oversee statutory filings for Guernsey companies and ensure compliance across jurisdictions. Maintain corporate calendars for Group and Operating Companies. Support board and committee meetings, including preparing logistics, materials, agendas, and minutes. Track and update action points from board and committee meetings. Ensure smooth communication between the Board, Committees, and senior management. Assist in director appointments and succession planning. Draft company secretary reports for the Board. Support corporate transactions such as mergers, acquisitions, and restructuring. Assist in developing and implementing corporate policies and procedures. Ensure timely filing of statutory documents with relevant authorities. Contribute to board self-evaluations and adherence to corporate governance standards. Assist with the Director Induction programme. Job Requirements: Relevant qualification such as ICSA Chartered Governance Professional (CGP) or equivalent. Previous experience in a similar role within Financial Services. Strong knowledge of Company Secretarial practices and Guernsey Company Law. Knowledge of Company Law in other jurisdictions is advantageous. Understanding of regulatory requirements for administrative service providers. Strong IT skills, including Microsoft Outlook, Word, and Excel. Experience with board paper compilation systems. Excellent time management, organisational, and prioritisation skills. Strong written and verbal communication skills. High ethical standards, integrity, and resilience. Ability to manage relationships effectively with internal and external stakeholders.
