Our client is seeking a qualified and experienced Group Company Secretary to join them on a permanent, full-time basis in Guernsey. Reporting initially to the CEO, this senior-level role will be responsible for company secretarial matters across the Group, ensuring adherence to statutory and regulatory obligations while upholding the highest standards of corporate governance. You will manage board operations, support board committees, facilitate shareholder communications, and oversee legal compliance and reporting across multiple jurisdictions. This is a pivotal role that offers direct exposure to executive leadership and strategic projects. Job Duties: Advise the Board, Committees, and executives on corporate governance, regulatory compliance, and fiduciary responsibilities Provide governance support for Board and Committee meetings, including agendas, logistics, minutes, and tracking action points Maintain the corporate calendar for the Group and its operating companies Support director appointments, succession planning, and composition of the Board Draft company secretary reports for the Board and monitor follow-up actions from meetings Oversee statutory filings and maintenance of registers for Guernsey companies and monitor compliance requirements in other jurisdictions Manage authorised signatory lists, corporate structure charts, and CDD documentation Provide governance support for the Group’s long-term incentive plans Ensure statutory compliance, including filing documents with regulatory bodies and maintaining corporate records Coordinate AGMs and EGMs and facilitate transparent communication with shareholders Support special corporate transactions including mergers, acquisitions, and restructurings Contribute to the development and implementation of governance policies and procedures Collaborate with legal and compliance teams to assess legal risks and mitigate them effectively Lead and enhance the company secretarial function to ensure efficiency and excellence in governance Support the executive team with governance expertise and contribute to the Director Induction programme Draft assessments of Board performance and contribute to reviews of compliance with relevant Corporate Governance Codes Job Requirements: Relevant qualification such as ICSA Chartered Governance Professional or equivalent Minimum of 5 years’ experience in a relevant financial services role Strong working knowledge of Guernsey Company Law, corporate governance practices, and regulatory frameworks Experience supporting Boards and Committees, with high attention to detail in minute taking and action tracking Good understanding of company secretarial practices in other jurisdictions is desirable Familiarity with ESG compliance and initiatives would be an advantage Excellent time management, organisation, and prioritisation skills Strong written and verbal communication skills Proficient in Microsoft Outlook, Word, and Excel Ethical, resilient, and adaptable with a strategic mindset and problem-solving approach Able to build and manage effective relationships with stakeholders at all levels What You’ll Love:This is a high-profile role in a forward-thinking organisation undergoing transformation and growth.
