Back to ResultsOur client is seeking a highly motivated Company Secretary to provide comprehensive Company Secretarial Services for a portfolio of listed fund entities, including regulated and private equity clients. This role offers the opportunity to take on increasing responsibility as you gain experience, with full training provided to ensure your success in the position. Job Duties: Act as Company Secretary for a selection of listed fund entities. Liaise with clients and directors to arrange, facilitate, and prepare for Board meetings, ensuring all necessary resources are in place. Attend Board meetings, take minutes, and ensure timely circulation and approval of the documented minutes. Set up and maintain hard copy statutory record files in compliance with regulatory requirements, and ensure timely filing of documents. Complete and submit annual return forms, including company tax applications upon incorporation. Liaise with the London Stock Exchange to ensure timely and accurate statutory returns and announcements. Maintain various company registers, including Directors, Members, and Seal registers. Assist in compliance oversight relating to company secretarial procedures, including KYC information collection and regulatory compliance visits. Review and assist with documentation such as accounts, draft prospectuses, and marketing materials. Support the training of junior staff and provide cover for team members as needed. Other duties as delegated. Job Requirements: Strong knowledge of the offshore fund industry, particularly regarding regulatory requirements. Understanding of the laws and regulations applicable to fund management and administration. Willingness to learn about the specific requirements of regulated, listed, and private equity clients.
